Genki Terms and Conditions
Last updated: 17 October 2026 Version: 1.6
These Terms are the contract between you and the provider of the Genki service. They set out what we offer you, what you undertake to do and not to do, how payment works, how to cancel, and who is answerable for what when something goes wrong.
They have been written to be read in full. Genki is not an ordinary service: it is an assistant that acts inside your email, calendar and file accounts, and some of the actions it performs cannot be undone. Section 7 is the one that explains that control, and it is worth reading before any other.
The processing of your personal data is described in the Privacy Policy, which forms part of these Terms. The provider's identifying details are in the Legal Notice.
1. Who provides the service
| Provider | Genki Solutions, S.L. |
| Tax ID | B05693684 |
| Registered address | Plaza de España, 15, 2.º B, 37439 San Cristóbal de la Cuesta (Salamanca), Spain |
| Contact address | contact@genki.digital |
| Registry details | Registered at the Companies Register of Salamanca, sheet SA-20827, entry 1 |
In these Terms, "Genki", "we" or "the provider" refer to that entity. "You" or "the user" refers to the person who contracts and uses the service.
2. Acceptance and applicable version
By creating an account you accept these Terms. Without that acceptance there is no contract and the service cannot be used.
The version and the date always appear in the header of this document.
If you disagree with any part of them, the route is not to create the account, or to close it if you already have one. There is no alternative version of these Terms that we can negotiate at ordinary sign-up; for business customers with different needs, write to the address in section 22.
3. Who can contract
To create an account you need:
- To be at least 18 years old. Genki is intended for professional use and cannot be used below that age. If we learn that an account was created in breach of this requirement, we will delete it.
- Capacity to enter into a contract. If you contract on behalf of a company or another legal entity, you represent that you have authority to do so, and in that case "you" also refers to that entity.
- A valid invitation code, while access to the service remains by invitation. A code works once and is not transferable.
4. Your account
Your account is for individual use. You are responsible for everything that happens through it, so:
- Keep your credentials safe. Do not share your password or leave sessions open on other people's machines. Operations that cannot be undone will ask you to identify yourself again, but that does not replace safekeeping.
- Keep your details accurate. Your email address is how we notify you of changes to the service and how we send you invoices.
- Tell us if you suspect unauthorised access, by writing to contact@genki.digital.
You can sign out at any time, and when you do, the session is revoked on our servers and not only in your browser.
4 bis. Organisation accounts
Genki can also be contracted as an organisation, for a team, a school or a company. How data is processed inside it is set out in section 3.6 of the Privacy Policy; what falls to each party is this:
- Whoever creates the organisation contracts on its behalf and represents that they may do so. They are its owner: they pay for the organisation's plan and a seat for each person, receive the invoices and can transfer the organisation to another member or dissolve it.
- A member's account belongs to the organisation. It is born when the invitation is accepted and is not closed like a personal account: it is closed when its holder leaves the organisation or is removed from it, and when the organisation is dissolved. Whatever they shared in it stays with the organisation.
- The organisation decides what is shared and with whom, through its owner and its admins, and answers for what is done with what is shared and with its central account: the Google, Microsoft and WhatsApp Business accounts it connects in its own name.
- The organisation is the controller of what is processed inside it, and Genki its processor (section 19). Telling its members what it sees about them and what it does with what is shared falls to the organisation.
5. What Genki is
Genki is a conversational assistant built on artificial intelligence models that, as well as answering, performs actions. Depending on the plan you contract and the permissions you grant, the service includes:
- Conversations with the assistant, along with any files you attach.
- Connecting your Google and Microsoft accounts, so it can work on your email, your calendar, your files and your contacts, and a business's WhatsApp Business account, so it can send messages from its number and, if you set up an agent listening on that number, handle the ones sent to it.
- Document collections: indexing the documents you choose, so they can be searched and answered about.
- Working with files: opening attachments and files from your connected accounts, saving them to your Library, your Drive or your OneDrive, preparing filled-in copies of forms and documents, and sending them as attachments by email or WhatsApp.
- Bots and scheduled tasks, which run without you being present.
- External tools (MCP) that you connect yourself.
The specific limits of each plan — number of chats, collections, bots, tasks, connections and usage credits — are shown in the application, on the plan and usage screen, and may change in accordance with section 16.
Genki is an artificial intelligence system. We tell you so here and on the screen where you converse, as required by Article 50 of Regulation (EU) 2024/1689. Answers are generated automatically, may contain errors, and do not constitute professional advice of any kind: not legal, medical, tax or financial. Do not rely on them as the sole basis for a decision that matters to you without checking them.
6. Connecting your Google, Microsoft and WhatsApp accounts
Creating a Genki account gives us access to nothing of yours. Connecting a provider is a separate, voluntary step that you authorise on the provider's own screen.
- You choose the permissions. You can grant them one by one, reduce them later and revoke them whenever you want, either from the application or from the security settings of your Google or Microsoft account. The assistant will work with fewer capabilities and will tell you so.
- You must be entitled to connect them. If the account belongs to your employer or holds information subject to confidentiality duties, make sure you are allowed to connect it before you do.
- Disconnecting deletes what it brought in. If you disconnect a provider from Genki, or reduce its permissions here, indexed content that came from that source is deleted, with the scope described in section 12 of the Privacy Policy. That is not a side effect: it is how it is meant to work. Withdrawing access only from Google or Microsoft does not delete it, because they do not notify us: disconnect it from Genki as well. In an organisation, what you synchronised into what is shared stays with it (section 4 bis).
WhatsApp Business, specifically. What gets connected is not a personal account but a business's WhatsApp Business account, and with it the assistant can send messages from the business's number, react and mark as read. If you set up an agent with the WhatsApp trigger, it also receives the messages people write to that number and acts on them. What it receives and what it sends it keeps for 90 days, encrypted, so that the agent has the context of the conversation; what it cannot read is what Meta does not deliver: the history from before an agent listened on that number. Section 3.2 bis of the Privacy Policy sets this out in full.
- The business answers for who gets written to. WhatsApp only allows messaging people who have consented to hear from that business, and more than 24 hours after that person's last message it only allows templates previously approved by Meta. These are Meta's rules — its Platform Terms and the WhatsApp Business Messaging Policy — and complying with them falls to whoever connects the account, not to Genki. Sending unsolicited messages can lead Meta to limit or close the business's account, and that consequence falls on you.
- Whoever connects it must be entitled to. Only connect a WhatsApp Business account if you are authorised to act on behalf of that business.
- And must tell its customers. If you put an agent on that number, the messages coming in are data about the people writing to the business. Telling them that the number is handled by an automated assistant falls to the business, which is the party with a relationship with them.
- And must leave them a way out. If an agent handles your number, you must offer the people who write a clear way to reach a person — a phone number, an email address or a form — and stop writing to anyone who asks not to receive further messages from your business. These are also rules of the WhatsApp Business Messaging Policy, and complying with them falls to you.
- Unlinking deletes the credentials. Meta does not let Genki cancel the granted permission itself, so the access will keep appearing in the business's settings until it is removed there. The application tells you so.
What happens inside your Google, Microsoft or WhatsApp accounts is also governed by the terms you have with those providers, which we do not control.
7. What the assistant can do and what control you have
This is the central section of the contract, because it is where responsibility is allocated.
Genki can send email on your behalf, send files by email or WhatsApp, upload files to your Drive or your OneDrive, create and modify events, and delete files, calendars, events and contacts. Some of those actions are irreversible: a sent email or file cannot be recalled, and an item deleted in your account may have no bin to recover it from.
That is why the system holds the action back and asks you before running it. In chat there are three modes, chosen per conversation:
| Mode | What happens |
|---|---|
| Always ask — the default for every new conversation | You are shown exactly what is about to happen, and the action does not run until you confirm it. If the card cannot be shown or nobody answers it, the action is cancelled |
| Auto-accept after a countdown | The card is shown with a countdown, and the action runs unless you stop it. Deletions are the exception that cannot be switched off: they never run without an answer |
| Auto-accept instantly | Nothing is shown and the action runs immediately, permanent deletions included. It is the riskiest of the three and you turn it on voluntarily |
What you take on by leaving the default mode. Choosing an automatic mode is your decision, explained on the screen itself, and with it you assume the outcome of actions that run without prior confirmation. We are answerable for the control existing, working and being properly explained; you are answerable for the instructions you give the assistant and for the degree of automation you choose.
In bots and scheduled tasks there is no confirmation at all, because you are not there. The control described above does not apply to them, nor does the one that protects deletions. That is why section 8 is separate.
8. Bots and scheduled tasks
A bot or a scheduled task acts alone, on the instructions you gave it, with nobody to ask.
- You are responsible for the instructions you give them. Before creating one, assume it will do what you asked, even if what you asked was ambiguous or the model reads it differently from how you had it in your head.
- Limit which tools each one can reach. When creating them you choose which tool servers and which specific functions they may use, and anything you do not tick is out of their reach. Together with the recipient list in the next point, that selection is today the only effective limit on what a bot can do unsupervised.
- Decide who it may write to. Everything an agent sends — emails, WhatsApp, Teams or Google Chat messages, event invitations and shared files, with or without attachments — can only go to the recipients you have authorised in its configuration — addresses, domains or numbers —, plus you and whoever wrote the message the agent is handling. If you tick that it may write to anyone, that limit goes away. Whatever it sends it sends on your behalf, so review the list as you would review a message before sending it.
- Do not give a bot instructions that involve deleting anything you are not prepared to lose.
Every run is logged — time, status and an extract of the result — and you can review it from the application, which is how you find out what the assistant did while you were away.
8 bis. Files the assistant fills in, edits or sends
The assistant can prepare filled-in copies of forms and documents, and send files to other people by email or WhatsApp. How it does so and what is kept of each file is in section 3.5 of the Privacy Policy. What falls to each party is this:
- You are answerable for the content you ask to have edited or filled in, and for being entitled to do so with that document.
- Review what the assistant prepares before you sign it or send it. It can get a field wrong just as it can get anything else wrong (section 18): a form the assistant has filled in is a draft until you have reviewed it. The original is never modified; the result is always a copy.
- The assistant does not sign on anyone's behalf. If a document needs a signature, you put it there, and after reviewing it.
- You are answerable for what you send and who you send it to. A sent file cannot be recalled. Before sending it, make sure the recipient is the right one and that you may share with them what it contains, especially if it includes other people's data or confidential information. In the chat, the confirmation card shows you the file and the recipients before sending; in agents, the recipient list you configure decides it in advance (section 8).
- Over WhatsApp, you hold the consent Meta requires. Messages, and files, can only be sent to people who have consented to hear from your business, under the rules in section 6. Obtaining and keeping that consent falls to you, not to Genki.
9. External tools (MCP)
The external tool servers you connect are not ours. You choose them, connect them and authorise them, and that relationship is directly with whoever publishes the tool.
What we are answerable for:
- Keeping encrypted the credential you entrust to us for that tool.
- Checking the address you enter: that it points outside our infrastructure and that the connection is encrypted, before accepting it and again when connecting.
- Sending that tool nothing beyond what the action you asked for requires.
- Warning you before you connect it, on the screen itself.
What you are answerable for: choosing it, the terms you accept with it, and what that third party does afterwards with whatever reaches it. What it stores, for how long, who it shares it with and under what security measures is outside our control and our responsibility. Read its terms before connecting it.
Connecting an MCP server means opening a door to whatever the assistant can reach on your behalf. Treat it as such.
10. Data about people who are not users
By connecting your accounts you are making third-party data available to Genki: senders and recipients of your emails, guests at your meetings, authors of documents and your contacts. If you connect WhatsApp, also the phone numbers of the people the business writes to and, if you have an agent listening on that number, those of the people who write to it and what they write.
You represent that you are entitled to do so and to ask the assistant to do what you ask of it with them. If your organisation processes that data as a controller and Genki acts on its behalf, write to us: in that case a data processing agreement is required, and we will provide one.
We process that data solely to provide you with the service, with the same protection as your own and on the terms of the Privacy Policy.
11. Acceptable use
You may not use Genki to:
- Carry out unlawful activities, or infringe third-party rights, including intellectual property and data protection rights.
- Access accounts or content that do not belong to you or that you are not authorised to reach.
- Send unsolicited commercial communications, bulk email or any form of impersonation.
- Generate or spread content that is unlawful, defamatory, discriminatory or that constitutes harassment.
- Attack, probe or overload the service: circumventing usage or plan limits, automating access outside the intended routes, reverse-engineering the platform, or attempting to reach other users' data.
- Resell the service, openly or otherwise, by giving third parties access through your account.
- Make automated decisions about people producing legal or similarly significant effects, relying on the assistant's output without human involvement.
You are responsible for the content you enter and the instructions you give. We do not monitor your conversations — we do not read your email or your documents, and access by our staff is prohibited except in the four cases in section 11 of the Privacy Policy — which means compliance with this section rests with you.
12. Content and intellectual property
What is yours stays yours. Your conversations, your files, your documents and all the content of your connected accounts belong to you. We acquire no rights over them beyond the licence strictly necessary to provide the service: hosting, processing, indexing and displaying them to you and, when you ask, copying, editing or sending them wherever you say, while you hold an account and for that purpose only.
We do not train models on your data, neither our own nor third-party ones. It is a commitment in section 3.4 of the Privacy Policy and also a term of this contract.
What is ours stays ours. The platform, its code, its design, its brand and its documentation belong to Genki Solutions, S.L. or its licensors. These Terms grant you a personal, limited, revocable and non-exclusive right to use the service, and nothing more.
About the assistant's output. To the extent the law recognises it, the output the assistant generates at your request is yours and you may use it. Bear two things in mind: content generated by a model may not be original and may coincide with another user's, and you are responsible for checking that your use does not infringe third-party rights.
13. Price, subscription and billing
- The service is contracted by the month or by the year, as you choose when contracting, and renews automatically at the start of each period until you cancel. Each renewal is subject to its fee being charged. An annual plan is charged in full in advance; its usage allowances remain monthly and renew every month within the year. You can switch between monthly and annual billing from the application, and the change takes effect at the next renewal.
- The prices in force for each plan are those published in the application at the time of contracting, inclusive or exclusive of taxes as stated there.
- Discount codes. A code we have given you reduces what you pay for the plan the code itself names, for the number of charges we told you. It can be used once, does not combine with other discounts, cannot be exchanged for money or refunded, only applies while you are on that plan (if you change to another and later come back, it carries on) and is lost if your plan falls behind on payment.
- The order button states unambiguously that the order entails an obligation to pay. By pressing it, you contract.
- Usage is charged to the current period. You can check at any time how many credits you have spent and with which model, from the plan and usage screen.
- We issue an invoice for each charge, when it is made, and make it available to you. Invoices are kept for six years under commercial and tax law, with the content the law requires, as detailed in section 12 of the Privacy Policy.
- If a renewal cannot be charged, we will tell you and keep your plan for seven calendar days while we try again; during that time you can pay or change your card from the application. Those days are a courtesy: if the charge goes through, the period counts from the renewal date; if it does not, the renewal does not take place, you are charged nothing and owe nothing, and your account moves to the free plan. Anything beyond its limits is paused, not deleted.
- A change to a lower plan, or from annual to monthly billing, takes effect when the period already paid for ends, with no refund of what was paid for that period.
A price change is announced with the notice period in section 20 and never applies to a period already paid for.
14. Right of withdrawal
If you contract as a consumer — that is, for purposes outside your trade or profession — you have fourteen calendar days from the conclusion of the contract to withdraw without giving a reason and without penalty.
To exercise it, simply tell us unequivocally at contact@genki.digital before the deadline expires. We will refund what you paid within the following fourteen days, using the same means of payment you used.
Loss of the right, and it is worth reading before you accept. Genki is a digital service supplied immediately: as soon as you create the account, the service is available. When contracting you are asked to expressly consent to performance beginning immediately and to acknowledge that, once fully performed, you will lose the right of withdrawal. If the service has been only partly performed when you withdraw, you must pay an amount proportionate to what has already been supplied.
This section does not apply to anyone contracting as a trader or professional.
15. Term, closing your account and its effects
You can close your account yourself, from Account → Cancel account, without writing to us or waiting for anyone to process it. The application shows you the exact date on which it will take effect and asks you to type your email to confirm. An organisation account is not closed that way: a member's is closed by leaving the organisation, and the owner's by dissolving it (section 4 bis).
Closure is not immediate, and that works in your favour. Your account keeps working normally until the month you have already paid for ends. Until then you can change your mind and get it back intact, from the same screen.
When the period ends, in a single operation: we check that the last period has been invoiced — the invoice is issued when each month is charged (section 13) —, your Google, Microsoft and external tool credentials are withdrawn, and all your content is deleted — profile, conversations, messages, files, collections, vectors, bots, tasks, run history, subscription and settings. From that point the closure cannot be undone.
What survives are your invoices, by legal obligation, and the technical security logs for their own retention period. It is set out in section 12 of the Privacy Policy.
There is no refund of the unused part of the current period, except in the withdrawal case in section 14 and except where the closure is due to a breach on our part.
16. Service availability
We work to keep Genki continuously available, but we do not guarantee uninterrupted availability or any particular service level, unless separately agreed in writing.
- We may carry out maintenance windows, which we will try to announce and schedule outside peak hours when they are not urgent.
- The service depends on external providers — hosting, the language model provider, Google, Microsoft and the tools you connect. An outage on their side carries over to Genki and is outside our control.
- We may change, add or withdraw features. If a change materially disadvantages you, we will tell you in accordance with section 20 and you may close your account.
Artificial intelligence models may change. We may add or withdraw specific models, always under the same location and data processing guarantees declared in section 6 of the Privacy Policy.
17. Suspension and termination by us
We may suspend or close your account if:
- You breach these Terms, and in particular section 11.
- Your use puts the security, integrity or availability of the service or of other users at risk.
- There is a non-payment that is not settled after notice.
- A legal obligation or an administrative or judicial decision requires it.
We will tell you beforehand, stating the reason and, where the breach can be remedied, giving you a period to do so. We will only suspend without prior notice where the seriousness of the case demands it — use that is causing ongoing harm — and in that case we will inform you immediately afterwards.
If the termination is on our initiative and you have not breached these Terms, we will refund the unused proportion of the current period.
18. Warranties and liability
What we warrant. That we provide the service with the professional diligence required, in accordance with these Terms and the Privacy Policy, and that we apply the security measures in section 11 of that Policy.
What we do not warrant. That the assistant's answers are accurate, complete or fit for any particular purpose. Genki is an artificial intelligence system and can get things wrong: it may misread an instruction, pick the wrong recipient or propose an action you did not intend. Checking the result before relying on it is your responsibility, and that is what the control in section 7 is for.
Limits on our liability. We are liable for direct damage caused to you by breach of these Terms. Save for wilful misconduct or gross negligence, and to the extent the law allows it to be limited, our total liability to you will not exceed the amount you have paid us in the twelve months preceding the event giving rise to it.
We are not liable for the content of your instructions, for the outcome of actions you authorise or automate, for what the external tools you connect do, for what the people you send a file to do with it, or for the unavailability or behaviour of Google, Microsoft or the other providers.
None of the above limits liability that the law does not allow to be excluded, in particular towards consumers, for personal injury or for wilful misconduct.
19. Data protection
The processing of your personal data is governed by the Privacy Policy, which forms part of these Terms and which we recommend you read in full: it describes what data we process, on what legal basis, who it is shared with, how long it is kept and what rights you have.
If you contract as an organisation, for what is processed inside it the organisation is the controller and we the processor (section 4 bis). The same is likely if you are a company connecting your staff's accounts. In both cases a data processing agreement under Article 28 GDPR is required, and we will provide one on request.
20. Changes to these Terms
We may change these Terms because of changes in the service, in our providers or in applicable law.
Where the change is material we will notify you by a visible means in the application or by email at least thirty days before it takes effect. If you disagree, you may close your account before that date at no additional cost; continuing to use the service afterwards means accepting them.
Changes that do not affect you — corrections, clarifications, updates to contact details — take effect on publication.
21. Governing law, complaints and jurisdiction
These Terms are governed by Spanish law.
Before going to court, write to us at contact@genki.digital. We will reply as soon as we can and will try to resolve it.
If you are a consumer, the courts of your domicile have jurisdiction, and nothing in these Terms may deprive you of that forum.
If you contract as a trader or professional, the parties submit to the courts of Salamanca, waiving any other forum.
If any clause is held void, the rest will remain valid and will be interpreted as closely as possible to the purpose of the voided clause.
